Welcome to edition 288 of Insider Weekends. Insider buying declined significantly last week with insiders buying $60.29 million of stock compared to $308.73 million in the week prior. Selling also decreased with insiders selling $522.92 million of stock last week compared to $871.89 million in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week went up to 8.67. In other words, insiders sold more than 8 times as much stock as they purchased. The Sell/Buy ratio this week compares unfavorably with the prior week, when the ratio stood at 2.82. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

  • Chief Executive Officer John F. Barry acquired 3,595,500 shares, paying $6.78 per share for a total amount of $24.37 million. Mr. Barry increased his stake by 49.18% to 10,906,700 shares with this purchase.
  • Chief Operating Officer M. Grier Eliasek acquired 205,000 shares, paying $6.76 per share for a total amount of $1.38 million. Mr. Eliasek increased his stake by 55.08% to 577,196 shares with this purchase.

Shares of this department stores chain were acquired by 2 insiders:

  • Chief Executive Officer Edward S. Lampert acquired 192,433 shares, paying $19.68 per share for a total amount of $3.79 million. Mr. Lampert increased his stake by 0.63% to 30,670,247 shares with this purchase.
  • 10% Owner Bruce R. Berkowitz acquired 19,400 shares, paying $19.42 per share for a total amount of $376,748. These shares were acquired indirectly through a fund.

There were some sales of Sears reported by Mr. Berkowitz as well but those were sales from managed accounts as instructed by clients. It is interesting to see both Mr. Lampert and Mr. Berkowitz continue to accumulate shares. Between them and their various entities, they already own more than half of the company.
