Even as company insiders took a break from buying their own stock, the M&A folks stepped up their game with six new deals announced and eight closing. However what stood out was not the number of deals but the number of M&A related lawsuits that were filed and the regulatory actions taken to block certain deals.

The mutually agreed upon termination of the Pfizer – Allergan deal mentioned in the “Deal Updates” section below was driven by the Treasury Department unveiling a set of rules targeting inversions and specifically the Pfizer – Allergan deal. Then there was the lawsuit by the Justice Department to block the Halliburton – Baker Hughes merger. To top it off, Williams Companies (WMB) decided to sue its merger partner Energy Transfer Equity (ETE) to unwind a private offering by ETE that was not beneficial to Williams Companies. ETE investors bid the stock up 17% last week following this development.

These actions are reminders to merger arbitrageurs about some of the risks involved in this strategy. Some of the spreads are large for a reason. Towards the end of March, I was exchanging thoughts with an investor on Twitter who said, “Announced deal merger arb spreads are wider than they have been in years”.  My response was “Only for the ones with regulatory risk (Office depot, Anthem), in the energy sector or Chinese going private mergers”.

Speaking of Office Depot (ODP), the stock is up a whopping 48% over the last month after a federal judge expressed skepticism about the government’s case to block the merger with Staples (SPLS). We do have a new Chinese going private merger as discussed in the New Deals section below and unsurprisingly the spread on the deal is a large 9.64% (13.28% annualized).

New Deals:

  1. The acquisition of Virgin America (VA) by Alaska Air Group (ALK) for $4 billion or $57.00 per share in cash.
  2. The acquisition of Chicopee Bancorp (CBNK) by Westfield Financial (WFD) in an all stock deal. Under the terms of the agreement, shareholders of Chicopee Bancorp will receive 2.425 shares of Westfield common stock for each share of Chicopee common stock.
  3. The acquisition of Ruckus Wireless (RKUS) by Brocade Communications Systems (BRCD) for approximately $1.2 billion in a cash plus stock deal. Under the terms of the agreement, shareholders of Ruckus Wireless will receive $6.45 in cash and 0.75 shares of Brocade common stock for each share of Ruckus common stock.
  4. The acquisition of Ku6 Media (KUTV) by Shanda Investment Holdings Limited for $1.08 per American Depositary Share of the Company.
  5. The acquisition of SL Industries (SLI) by Handy & Harman (HNH) for $166.32 million or $40.00 per share in cash.
  6. The acquisition of Alliance Fiber Optic Products (AFOP) by Corning (GLW) for $305 million or $18.50 per share in cash.

Deal Updates:

  1. On April 6, 2016, Pfizer (PFEannounced that the merger agreement between Pfizer and Allergan (AGN) has been terminated by mutual agreement of the companies.

Closed Deals:

  1. The acquisition of Homeinns Hotel Group (HMIN) by BTG Hotels Group on April 1, 2016. It took 116 days for this deal to be completed.
  2. The acquisition of Lake Shore Gold (LSG) by Tahoe Resources (TAHO) on April 1, 2016. It took 53 days for this deal to be completed.
  3. The acquisition of National Penn Bancshares (NPBC) by BB&T Corporation (BBT) on April 4, 2016. It took 231 days for this deal to be completed.
  4. The acquisition of LeapFrog Enterprises (LF) by VTech Holdings Limited on April 4, 2016. It took 59 days for this deal to be completed.
  5. The acquisition of Rentech Nitrogen Partners (RNF) by CVR Partners (UAN) on April 4, 2016. It took 238 days for this deal to be completed.
  6. The acquisition of Atmel Corporation (ATML) by Microchip Technology (MCHP) on April 4, 2016. It took 76 days for this deal to be completed.
  7. The acquisition of Youku Tudou (YOKU) by Alibaba Group Holding Limited (BABA) on April 5, 2016. It took 151 days for this deal to be completed.
  8. The acquisition of JAVELIN Mortgage Investment (JMI) by ARMOUR Residential REIT (ARR) on April 6, 2016. It took 35 days for this deal to be completed.

Welcome to edition 303 of Insider Weekends. Insider buying increased significantly last week with insiders buying $119.62 million of stock compared to $26.94 million in the week prior. Selling on the other hand declined with insiders selling $906 million of stock last week compared to $1.32 billion in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week dropped to 7.57. In other words, insiders sold more than 7 times as much stock as they purchased. The Sell/Buy ratio this week compares favorably with the prior week, when the ratio stood at 48.99. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

While the headline numbers indicate that insider buying jumped significantly and the Sell/Buy ratio dropped, looking deeper shows that 94% of the insider buying was related to a single transaction for Transmontaigne Partners (TLP) that appears to be a private placement with various entities indirectly related to a director of the company. Removing this transaction would mean insiders just purchased $7.2 million of stock last week. Some of this muted buying could be explained by the fact that we were in the first week of the quarter and earnings related quite periods at most companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

Notable Insider Buys:

1. Actuant Corporation (ATU): $24.22

Shares of this industrial products and systems company were acquired by 3 insiders:

  • EVP-Human Resources Eugene Edward Skogg acquired 10,000 shares, paying $24.46 per share for a total amount of $244,600. Mr. Skogg increased his stake by 10.49% to 105,319 shares with this purchase.
  • Exec VP Industrial Segment Mark Sefcik acquired 6,500 shares, paying $24.50 per share for a total amount of $159,250. Mr. Sefcik increased his stake by 12.48% to 58,582 shares with this purchase.
  • Pres. & CEO Randal W. Baker acquired 4,061 shares, paying $24.63 per share for a total amount of $100,022. Mr. Baker increased his stake by 8.62% to 51,153 shares with this purchase.

Deal Updates:

  1. On March 28, 2016, China’s Anbang Group again upped its offer to $14 billion, or $82.75 per share to acquire Starwood Hotels & Resorts Worldwide (HOT). Later, on April 1, 2016, Starwood announced that a consortium of companies headed by Chinese insurer Anbang Insurance Group has withdrawn its proposal to acquire Starwood for $82.75 per share and does not aim to make another offer. The withdrawal of the offer by the consortium of companies, which also included J.C. Flowers & Co. and Primavera Capital Limited, was primarily due to concerns related to the market. This announcement paves the way for Marriott International (MAR) to merge with Starwood. The two hoteliers will host their individual shareholder meetings on Apr 8 to vote for the planned merger.
  2. On March 28, 2016, Origin Technologies, a newly created entity owned by a group of former Affymetrix executives for the purpose of privatizing Affymetrix (AFFXwithdrew their offer to take the company private for $17 per share after Affymetrix decided to stay in favor of an existing bid from Thermo Fisher (TMO).
  3. On March 28, 2016, Cleco Corporation (CNL) received the final approval by the Louisiana Public Service Commission, for its sale to a group of North American infrastructure investors led by Macquarie Infrastructure and Real Assets and British Columbia Investment Management Corporation. The transaction is expected to close in April.
  4. On March 30, 2016 Gannett (GCI) announced that its previously announced acquisition of Journal Media Group (JMG) will not close during the first quarter as expected because the regulatory clearance process is not yet complete.
  5. On April 1, 2016, ON Semiconductor Corporation (ON) announced that it has extended its previously announced tender offer to purchase all of the outstanding shares of common stock of Fairchild Semiconductor International (FCS) to April 14, 2016.

Closed Deals:

  1. The acquisition of Inland Real Estate (IRC) by real estate funds managed by DRA Advisors on March 30, 2016. It took 106 days for this deal to be completed.
  2. The acquisition of Affymetrix (AFFX) by Thermo Fisher Scientific (TMO) on March 31, 2016. It took 65 days for this deal to be completed.
  3. The acquisition of Cameron International Corporation (CAM) by Schlumberger Limited (SLB) on April 1, 2016. It took 219 days for this deal to be completed.

Welcome to edition 302 of Insider Weekends. Insider buying declined last week with insiders buying $26.94 million of stock compared to $38.86 million in the week prior. Selling more than doubled with insiders selling $1.32 billion of stock last week compared to $635.25 million in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week went up to 48.99. In other words, insiders sold almost 49 times as much stock as they purchased. The Sell/Buy ratio this week compares unfavorably with the prior week, when the ratio stood at 16.35 and is the highest we have seen since March 27, 2015. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

New Deals:

  1. IHS (IHS) and Markit (MRKT) announced the signing of a definitive agreement under which the companies will combine in an all-share merger of equals. The combined company will be renamed IHS Markit. Under the terms of the agreement, IHS shareholders will receive 3.5566 common shares of IHS Markit for each share of IHS common stock.
  2. The acquisition of VirtualScopics (VSCP) by BioTelemetry (BEAT) for $15.5 million or $4.05 per share in cash.

Deal Updates:

  1. On March 21, 2016, Marriott International (MAR) and Starwood Hotels & Resorts Worldwide (HOT) announced that the companies have signed an amendment to their definitive merger agreement. Under the terms of the amended merger agreement, Starwood shareholders will receive $21.00 in cash and 0.80 shares of Marriott International  Class A common stock for each share of Starwood Hotels & Resorts Worldwide common stock. Excluding its timeshare business, the transaction values Starwood at approximately $13.6 billion.

  1. The acquisition of RealD (RLD) by Rizvi Traverse Management on March 22, 2016. It took 134 days for this deal to be completed.
